Purchasing Support (if Party B receives the formal order from Party A) - production status track & update, quality inspection & acceptance, storage and shipping arrangement (incl. document preparation, custom clearance and other necessary support for both sea and air shipment.) A sales contract shall be entered between the Parties for such purchasing support and the sales contract shall prevail in case of any discrepancy.

Article 二: Service Rates & Adjustment 第二条：费率及调整

Party B shall charge for its services stipulated as above and the rates listed in Party B’s formal

quotation shall apply.

Party B shall issue invoice to Party A according to the quotation confirmed by Party A. Party A

shall pay the amount indicated in the invoice before receiving service from Party B.

乙方应按照甲方确认的报价金额向甲方开具**，甲方应在乙方执行服务前依照**金额全额支付服务费。

Article 三: Confidentiality 第三条：保密

In performance of the services under this contract, Party B may receive proprietary and confidential information from Party A. All such information shall be safeguarded and not be disclosed to third parties without approval by Party A.

Article 四 Entire Agreement & Amendment 第四条：完整性与修改

This Contract and its Appendices (including but not limited to quotation) constitute the final, complete and exclusive statement of the contract of the parties with respect to the subject matter thereof. It supersedes all prior communications, understandings and agreements relating to the subject matter hereof, whether oral or written. No modification or claimed waiver of any provision

of this Contract shall be valid except by written amendment signed by authorized representatives of the parties through negotiation.

Article 五 Dispute Resolution 第五条：争议解决

If any dispute or difference of whatsoever kind shall arise in connection with or arising out of this

Contract, the Parties shall solve attempt to resolve such dispute through friendly consultations. If

such attempt fails, either party shall be entitled to submit the dispute to China International Economic and Trade Arbitration Commission.

Article 六: Language 第六条：语言

卖方保证订货系用最上等的材料和头等工艺制成，全新的，未曾使用过的, 并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用和维修的情况下，自安装之日起十二个月或货物装运之日起十五个月内运转良好，以先到期者为准。由于人为造成的、易损易磨件除外。

第一章总则

第十三条贷款总投资和注册资本之间的差额向银行贷款。可首先考虑向合资公司所在的国内银行或其它渠道借贷。甲、乙方按在合资公司注册资本的比例各自负责贷款担保。

如果合资公司董事会认为，除了第十一条规定的双方投资额和上述贷款外，合资公司的经营需要流动资金和其它资金，双方应按各自在合资公司注册资本的比例为上述借款作担保。如果不能按上述方式获得借款，董事会将按合同双方各自在合资公司中的资本比例向合同双方另外征集资金。除非合同双方另以书面形式明确表示同意，任何一方都没有义务再增加注册资本成为第三方借贷给合资公司的款项作担保。但是，如果合资公司的经营、利润状况良好，合同双方原则上同意再适当增加注册资本，即按经营发展状况和稳妥的股本筹措原则使用积累的储备基金。

第十四条资本转让除非得到另一方的同意并经审批机关批准，合同任何一方都不得将其认缴的资本股份全部或部份转让给第三方。如果一方将其认缴的资本股份全部或部分转让给第三方，则另一方具有优先受让的权利，受让的条件不得苛刻于转让给第三方的条件。另一方特此表示，如果自己不行使优先受让权，即为同意上述转让。

第十五条抵押和担保未经董事会一致同意，任何一方都不得将其认缴的资本股份全部或部分用作抵押，也不得用作担保。

第六章合资双方的责任

第十六条甲、乙方应各自负责完成以下各项事宜：

１６．１甲方责任（根据具体情况写，主要有：）

按第五章规定出资并协助安排资金筹措；

办理为设立合资公司向中国有关主管部门申请批准、登记注册、领取营业执照等事宜；向土地主管部门办理申请取得土地使用权的手续；

协助合资公司组织合资公司厂房和其它工程设施的设计、施工；

协助办理乙方作为出资而提供的机械设备的进口报关手续和在中国境内的运输；协助合资公司联系落实水、电、交通等基础设施；

协助合资公司申请所有可能享受的关税和税务减免以及其它利益或优惠待遇；协助合资公司招聘中方管理人员、技术人员、工人和所需的其他人员；

协助外籍工作人员办理所需的入境签证、工作许可证和旅行手续等；

负责办理合资公司托的其它事宜。

１６．２乙方责任：

按第五章规定出资并协助安排资金筹措；

办理合资公司托在中国选购机械设备、材料等有关事宜；

提供需要的设备安装、调试以及试生产技术人员、生产和检验技术人员；

培训合资公司的技术人员和工人；

如乙方同时又是技术转让方，则应负责合资公司在规定期限内按设计能力稳定地生产合格产品；

负责办理合资公司托的其它事宜。

第七章技术转让

第十七条许可与技术引进协议合资公司和＿＿公司的“许可与技术引进协议”应与本合同同时草签。

第八章商标的使用及产品的销售

第十八条合资公司和＿＿公司就使用＿＿公司的商标签订“商标使用许可协议”，所有同商标有关的事宜均应按照“商标使用许可协议”的规定办理。或合资公司的产品使用商标为＿＿＿＿＿＿＿＿。

第十九条合资公司的产品，在中国境内外市场上销售，外销部分占＿＿＿＿＿％，内销部分占＿＿＿＿＿％。

第二十条合资公司内销产品可由中国物资部门、商业部门包销或代销，或由中国外贸公司包销的占＿＿＿＿＿％。

第九章董事会

第二十二条合资公司注册登记之日，为合资公司董事会成立之日。

第二十六条董事长是合资公司的法定代表。如果董事长不能行使其职责，应书面授权副董事长代理。

第二十七条董事会会议每年至少召开一次，由董事长召集并主持会议。经三分之一以上的董事提议，董事长可召开董事会临时会议。会议纪要归合资公司存档。任何一名董事如不能出席会议，应以书面托的形式指定一名代理出席会议和行使表决权。如果董事既不出席会议也不托他人参加会议，应视作弃权。

第十章经营管理机构

一五. 装运条款（Terms of Shipment）：

(一) FOB交货方式

卖方应在合同规定的装运日期前三零天，以＿＿＿＿方式通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物越过船弦并脱离吊钩以前一切费用和风险由卖方负担。

The Seller shall, 三零 days before the shipment date specified in the Contract, advise the Buyer by _______ of the Contract No., commodity, quantity, amount, packages, gross weight, measurement, and the date of shipment in order that the Buyer can charter a vessel/book shipping space. (二) CIF或CFR交货方式

卖方须按时在装运期限内将货物由装运港装船至目的港。在CFR术语下，卖方应在装船前二天以＿＿＿＿方式通知买方合同号、品名、**价值及开船日期，以便买方安排保险。

The Seller shall ship the goods duly within the shipping duration from the port of loading to the port of destination. 一六. 装运通知（Shipping Advice）：

一七. 质量保证（Quality Guarantee）：

货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港＿＿个月内。在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。 The Seller shall guarantee that the commodity must be in conformity with the quatity,

specifications and quantity specified in this Contract and Letter of Quality Guarantee. The guarantee period shall be ______ months after the arrival of the goods at the port of destination, and during the period the Seller shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

一八. 检验（Inspection）（以下两项任选一项）：

（一）卖方须在装运前＿＿日委托＿＿＿＿＿＿检验机构对本合同之货物进行检验并出具检验证书，货到目的港后，由买方委托＿＿＿＿＿＿＿＿检验机构进行检验。

The Seller shall have the goods inspected by ______ days before the shipment and have the Inspection Certificate issued by____. The Buyer may have the goods reinspected by ________ after the goods?rrival at the destination.

(二) 发货前，制造厂应对货物的质量、规格、性能和数量/重量作精密全面的检验，出具检验证明书，并说明检验的技术数据和结论。货到目的港后，买方将申请*商品检验局(以下简称商检局)对货物的规格和数量/重量进行检验，如发现货物残损或规格、数量与合同规定不符，除保险公司或轮船公司的责任外，买方得在货物到达目的港后＿＿日内凭商检局出具的检验证书向卖方索赔或拒收该货。在保证期内，如货物由于设计或制造上的缺陷而发生损坏或品质和性能与合同规定不符时，买方将委托*商检局进行检验。

The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall ap* to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within _____ days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.

一九. 索赔（Claim）：

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔（包括换货），由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。

The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. 二零. 迟交货与罚款（Late delivery and Penalty）:

除合同第二一条不可抗力原因外，如卖方不能按合同规定的时间交货，买方应同意在卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每＿＿天收＿＿%，不足＿＿天时以＿＿天计算。但罚款不得超过迟交货物总价的____%。如卖方延期交货超过合同规定＿＿天时，买方有权撤销合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。

Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 二一 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than _____days should be counted as ______ days. But the penalty, however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. 二一. 不可抗力（Force Majeure）：

凡在制造或装船运输过程中，因不可抗力致使卖方不能或推迟交货时，卖方不负责任。在发生上述情况时，卖方应立即通知买方，并在＿＿天内，给买方特快专递一份由当地民间商会签发的事故证明书。在此情况下，卖方仍有责任采取一切必要措施加快交货。如事故延续＿＿天以上，买方有权撤销合同。

The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_____ days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. 二二. 争议的.解决 (Arbitration):

Any dis* arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached, the dis* shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC),Shenzhen Commission for arbitration in accordance with its rules in effect at the time of ap*ing for arbitration. The arbitral award is final and binding upon both parties.

二三. 通知（Notices):

（一零）装运条件

Terms of Shipment ：

A．离岸价条款 Terms of FOB Delivery：

a) 装运本合同货物的船只，由买方或买方运输**人*租船公司租订舱位。卖方负担货物的一切费用风

险到货物装到船面为止。

For the goods ordered in this Contract, the carrying vessel shall be arranged by the Buyers or the Buyers

Shipping Agent China National Chartering Corporation. The Sellers shall bear all the charges and risks until the

goods are effectively loaded on board the carrying vessel.

b) 卖方必须在合同规定的交货期限三十天前，将合同号码、货物名称、数量、装运口岸及预计货物运达装

运口岸日期，以电报通知买方以便买方安排舱位。并同时通知买方在装港的船**。倘在规定期内买方未

接到前述通知，即作为卖方同意在合同规定期内任何日期交货，并由买方主动租订舱位。

The Sellers shall advise the Buyers by cable, and simultaneously advise the Buyersshipping agent at the

loading port, 三零 days before the contracted time of shipment, of the contract number, name of commodity, quantity,

loading port and expected date of arrival of the goods at the loading port, enabling the Buyers to arrange for

shipping space. Absence of such advice within the time specified above shall be considered as Sellersreadiness to

deliver the goods during the time of shipment contracted and the Buyers shall arrange for shipping space

accordingly.

c) 买方应在船只受载期一二天前将船名、预计受载日期、装载数量、合同号码、船舶**人，以电报通知

卖方。卖方应联系船舶**人配合船期备货装船。如买方因故需要变更船只或更改船期时，买方或船舶代

理人应及时通知卖方。

The Buyers shall advise the Sellers by cable, 一二 days before the expected loading date, of the estimated laydays,

contract number, name of vessel, quantity, to be loaded and shipping agent. The Sellers shall then arrange with the

shipping agent for loading accordingly. In case of necessity for substitution of vessel or alteration of shipping

schedule, the Buyers or the shipping agent shall duly advise the Sellers to the same effect.

d) 买方所租船只按期到达装运口岸后，如卖方不能按时备货装船，买方因而遭受的一切损失包括空舱费、

延期费及/或罚款等由卖方负担。如船只不能于船舶**人所确定的受载期内到达，在港口免费堆存期满后

第一六天起发生的仓库租费，保险费由买方负担，但卖方仍负有载货船只到达装运口岸后立即将货物装船之

义务并负担费用及风险。前述各种损失均凭原始单据核实支付。

In the event of the Sellersfailure in effecting shipment upon arrival of the vessel at the loading port, all losses,

including dead freight, demurrage fines etc. thus incurred shall be for Sellersaccount. If the vessel fails to arrive

at the loading port within the laydays. previously declared by the shipping agent, the storage charges and insurance

premium from the 一六th day after expiration of the free storage time at the port shall be borne by the Buyers.

However, the Sellers shall be still under the obligation to load the goods on board the carrying vessel immediately

after her arrival at the loading port, at their own expenses and risks. The expenses and losses mentioned above

shall be reimbursed against original receipts or invoices.

B．成本加运费价条款 Terms of CFR Delivery：

卖方负责将本合同所列货物由装运口岸装直达班轮到目的口岸，中途不得转船。货物不得用悬挂买方

不能接受的国家的旗帜的船只装运。

The Sellers undertake to ship the contracted goods from the port of loading to the port of destination on

adirect liner, with no transhipment allowed. The contracte goods shall not be carried by a vessel flying the flag of

the countries which the Buyers can not accept.

（一一）装运通知：卖方在货物装船后，立即将合同号、品名、件数、毛重、净重、**金额、载货船名及

装船日期以电报通知买方。

Advice of Shipment：The Sellers shall upon competition of loading, advise immediately the Buyers by cable

of the contract number, name of commodity, number of packages, gross and net weights, invoice value, name of

vessel and loading date.

（一二）保险：自装船起由买方自理，但卖方应按本合同第（一一）条通知买方。如卖方未能按此办理，买方因而遭受的一切损失全由卖方负担。

Insurance：To be covered by the Buyers from shipment, for this purpose the Sellers shall advise the Buyers by cable of the particulars as called for in Clause(一一) of this Contract, In the event of the Buyers being unable to arrange for insurance in consequence of the Sellersfailure to send the above advice, the Sellers shall be held responsible for all the losses thus sustained by the Buyers.

（一三）检验和索赔：货卸目的\\\\\\\'口岸，买方有权申请*******国家质量**检验检疫总局进行检验。如发现货物的品质及/或数量/重量与合同或**不符：除属于保险公司及/或船公司的责任外，买方有权在货卸目的口岸后九零天内，根据*******国家质量**检验检疫总局出具的证明书向卖方提出索赔，因索赔所发生的一切费用（包括检验费用）均有卖方负担。FOB价格条件时，如重量短缺，买方有权同时索赔短重部分的运费。

Inspection and Claim：The Buyers shall have the right to ap* to the General Administration of Quanlity Supervision, Inspection and Quarantine of the Peoples Republic of China (AQSIQ) for inspection after discharge of the goods at the port of destination. Should the quality and/or quantity/weight be found not in conformity with the contract or invoice the Buyers shall be entitled to lodge claims with the Sellers on the basis of AQSIQ s Survey Report, within 九零 days after discharge of the goods at the port of destination , with the exception, however, of those claims for which the shipping company and/or the insurance company are to be held responsible. All expenses incurred on the claim including the inspection fee as per the AQSIQ inspection certificate are to be borne by the Sellers. In case of FOB terms, the buyers shall also be entitled to claim freight for short weight if any.

（一四）不可抗力：由于人力不可抗拒事故，使卖方不能在合同规定期限内交货或者不能交货，卖方不负责任。但卖方必须立即通知买方，并以挂号函向买方提出有关*机关或者商会所出具的证明，以证明事故的存在。由于人力不可抗拒事故致使交货期限延期一个月以上时，买方有权撤销合同。卖方不能取得出口许可证不得作为不可抗力。

Force Majeure：In case of Force Majeure the Sellers shall not held responsible for delay in delivery or non-delivery of the goods but shall notify immediately the Buyers and deliver to the Buyers by registered mail a certificate issued by government authorities or Chamber of Commerce as evidence thereof. If the shipment is delayed over one month as the consequence of the said Force Majeure, the Buyers shall have the right to cancel this Contract. Sellersi*lity in obtaining export licence shall not be considered as Force Majeure.

（一五）延期交货及罚款：除本合同第（一四）条人力不可抗拒原因外，如卖方不能如期交货，买方有权撤销该部分的合同，或经买方同意在卖方缴纳罚款的条件下延期交货。买方可同意给予卖方一五天优惠期。罚款率为每一零天按货款总额的一%。不足一零天者按一零计算。罚款自第一六天起计算。最多不超过延期货款总额的五%。

Delayed Delivery and Penalty：Should the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause (一四) of this Contract, the Buyers shall have the right to cancel the relative quantity of the contract, Or altenatively, the Sellers may, with the Buyersconsent, postpone delivery on payment of penalty to the Buyers. The Buyers may agree to grant the Sellers a grace period of 一五 days. Penalty shall be calculated from the 一六th day and shall not exceed 五% of the total value of the goods involved.

（一六）仲裁：一切因执行本合同或与本合同有关的争执，应由双方通过友好方式协商解决。如经协商不能得到解决时，应提交***国际贸易促进委员会对外经济贸易仲裁委员会。按照*国际贸易促进委员会对外经济贸易仲裁委员会仲裁程序暂行规定进行仲裁。仲裁委员会的裁决为终局裁决，对双方均有约束力。仲裁费用除非仲裁委员会另有决定外，由败诉一方负担。

Arbitration：All dis*s in connection with this Contract or the execution thereof shall be friendly negotiation. If no settlement can be reached, the case in dis* shall then be submitted for arbitration to the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure of the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade. The Award made by the Commission shall be accepted as final and binding upon both parties. The fees for arbitration shall be borne by the losing party unless otherwise awarded by the Commission.

一三．装运条款：

□ FOB

卖方应在合同规定的装运日期前三零天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

CIF and CFR

卖方须按时在装运期限内将货物由装运港装船到目的港。在CFR术语下，卖方应在装船前二天电传/传真/电报买方合同号、品名、**价值及开船日期，以便买方安排保险。

The sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . Under CFR terms , the sellers shall advise the buyers by CABLE/FAX/TELEX of the contract No. , commodity , invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

一四．装运通知

shipping advice :

一件装载完毕，卖方应在____小时内电传/传真/电报买方合同编号、品名、已发运数量、**总金额、毛重、船名/车/机号及启程日期等。

一五．质量保证：

Quality guarantee :

货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

一六．商品检验：卖方须在装运前_____日委托检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托____检验机构进行复检。

Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.

一七．索赔

Claims:

如经*_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

一八．延期交货违约金

Late delivery and penalty

除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的五%，差率按七天计算，不满七天仍按七天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。

If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 五% of the total value of the goods . The rate of penalty is charged at every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

一九．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及

时通知买方。

Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.

二零．争议之解决方式：

Dis*s settlement :

□任何因本合同而发生或与本合同有关的争议，应提交*国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在*深圳。仲裁裁决是终局的，对双方均有约束力。

All dis*s arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . 二一．法律适用

Law application :

seller then to offer another cargo that complies with contract terms， time being of the essence o r the buyer has the right to cancel the contract， a nd in that event under clauses in sections 一五 the seller shall pay all the penalty to buyer include the fees of the discharge port.

在规格达到第一五条的退货标准情形下，卖方此时须于时限内重新提供符合合约条件的货品与买方，否则买方有权取消本合约，而卖方必须支付包括卸货港所有损失罚款费用于买方。

buyer shall be entitled， at its own expense， to have his representative present at the draft survey， a nd any difference of opinion is to be settled by the master of the charter vessel， whose decision shall be final.

买方有权以自费方式指派代表人参与船身吃水鉴定，且船公司得接受其意见，并共同决定鉴定结果。

买方亦有权以自费方式，由sgs （）或其它国家检验公证机构于卸货港实施船身吃水鉴定。

the chemical composition of the cargo shall be determined by an independent international agency at load port， seller cost.

货物之化学组成成份分析，须由立的国际公证检验机构在装货港检验证明，所需费用由卖方负担。

一九. moisture content水分含量：

the moisture content shall be determined by obtaining the moisture loss at 一零五 degrees centigrade. if the moisture loss exceeds 八 % seller shall adjust the final weight obtained from draft survey by the excess moisture content so found， a nd invoice only the resulting net weight.

水份含量是以摄氏一零五℃下水气逸失后所测得知湿度值八%基准，若所测之知湿度值超过八%时，卖方必须按照船身吃水鉴定报告来调整出最后实际重量，发票仅依净重。

二零. sampling a nd analysis抽样及分析：

all sampling a nd analysis relevant to the contract terms shall be conducted at load port.

依照合约内容所进行的采样及分析工作应于装货港口实施之。

supposing the cargo gets any discrepancy between the inspection at discharge port a nd the sgs （）/ciq（according to the agreement） the ending result by ciq for this contract.

若买方在卸货港检验时与卖方的sgs （）/ciq证明（符合合约规范）有所差异时，以ciq检验为最终检验标准结果。

to cargo货物所有权：

the title with respect to the shipment shall pass from the seller to the buyer when the seller receives reimbursement of the proceeds from the opening bank through the negotiating bank against the relative shipping documents as forth herein. the seller shall have full right a nd title to dispose of the cargo in any manner that he should think fit， if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating bank.

卖方于检附海运提单及相关文件经由押汇行向开状银行取得应收的押汇款后，货物所有权同时归买方所拥有。若开状银行或押汇行以不合理之异议作为拒付或者有延迟付款情形产生时，卖方有完全的权利以其单方所认定的合适方法对货物做任何的处理。

一五. 装运条款（Terms of Shipment）：

(一) FOB交货方式

卖方应在合同规定的装运日期前三零天，以＿＿＿＿方式通知买方合同号、汽、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物越过船弦并脱离吊钩以前一切费用和风险由卖方负担。

一六. 装运通知（Shipping Advice）：

一七. 质量保证（Quality Guarantee）：

(二) 发货前，制造厂应对货物的质量、规格、性能和数量/重量作精密全面的检验，出具检验证明书，并说明检验的技术数据和结论。货到目的港后，买方将申请中国商品检验局(以下简称商检局)对货物的规格和数量/重量进行检验，如发现货物残损或规格、数量与合同规定不符，除保险公司或轮船公司的责任外，买方得在货物到达目的港后＿＿日内凭商检局出具的检验证书向卖方索赔或拒收该货。在保证期内，如货物由于设计或制造上的缺陷而发生损坏或品质和性能与合同规定不符时，买方将托中国商检局进行检验。

The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within _____ days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.

一九. 索赔（Claim）：

三. 任： Appointment

甲方指定乙方为其在中国的全权采购代理，采购甲方指定的烯烃芳烃加氢和异构化催化剂，瓦斯油（AGO+VGO）脱硫催化剂，石脑油加氢催化剂（详见产品采购合同）。

The Party A appoints the Party B as its Exclusive Purchasing Agency in China, purchasing the goods as Part A refers. Olefins, Aromatics Hydrogenation and Isomerisation Catalysts，Gas Oil Desulfurization Catalyst（AGO+VGO），Light Naphtha Hydrotreater Catalyst.(Details as per Purchase Contract)

四. 双方的职责： Duties of two parties:

(一) 甲方所需的'采购业务应提交给乙方详细的采购产品信息，比如材质、尺寸、数量、品质等具体要求。Party A shall provide all the information of the purchasing products to Party B, such as material, size, quantity, quality and other concrete requirements.

乙方向甲方提供采购产品客户信息，代理信息，代理租船顾问业务等。负责落实甲方采购产品资源，渠道和谈成供货意向一并关于给甲方。

Party B shall provide Party A customers’information and agent information, consultancy service on agents chartering. Besides, he shall find and confirm the products resources and supply channel, then introduce these information totally to Party A.

(二) 因甲方购买的产品涉及专利产权和产品生产者指定代理的情况，乙方负责促成甲方与产品生产者或产品生产者代理商之间签署采购协议，实现贸易，并负责为甲方对采购产品取样、验货、出货等的环节进行服务。

Party B shall help and facilitate Party A sign the Purchasing Agreement with the suppliers or agents, also should provide services in many aspects, such as sampling, inspection, delivery and other matters.

五. 货款的支付方式：Payment of goods

甲方购买的产品涉及专利产权或产品生产者指定代理的情况，甲方与产品生产者或产品生产者代理商之间直接签署采购协议，货款支付方式由协议双方协商达成一致。

Party A will sign Purchasing Agreement directly with producers or its agents, and the

payment term of goods will be negotiated and agreed by Party A and the Seller.

六. 佣金的计算、给付方式、给付时间： Commission calculation, payment methods, payment time 甲方同意按照采购产品总金额的（一-五）%支付佣金给乙方，支付日期为付款给卖方的同一天，佣金汇入乙方指定银行账户。如甲方以预付款或分期付款的形式向卖方支付货款，在甲方向卖方支付第一笔货款的同时向乙方全额支付采购产品总金额的佣金。

For the Purchasing Agent's services, the Party A shall pay the Party B the following commission percentage:(一-五)% of Part B’s purchasing aggregate amount of the invoice value,simultaneously within the same banking day as the party A makes payment to the Seller. Commission should be remitted to Party B’s designated bank account. If the Party A makes advance payments to the Seller or payment by installments, he should pay the commission to Party B simultaneously with the first payment he made to the Seller.

七. 违约责任：

(一) 甲方若不按本合同第六条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的五‰/天。

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not

be predicted, controlled, avoided or overcome by the relative party. However, the party

affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 一五 days after its occurrence.

一零. 仲裁： Arbitration

因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration

Commission (Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

九、乙方的责任：

十、违约处理：

委托方应向咨询方提供有关的资料、技术咨询报告、图纸和可能得到的信息并给予咨询方开展工作提供力所能及的协助，特别是委托方应在适当时候指定一名总**以便能随时予以联系。

委托方应协助咨询方向有关机构取得护照签证、工作许可和咨询方要求的其它文件以使咨询方能进入委托方国家和本工程的现场，但费用由咨询方负担。

除了合同附件三所列的技术人员外，咨询方还应提供足够数量的称职的技术人员来履行本合同规定的义务。咨询方应对其所雇的履行合同的技术人员负完全责任并使委托方免受其技术人员因执行合同任务所引起的一切损害。

咨询方应根据咨询服务的内容和进度安排，按时提交咨询技术咨询报告及有关图纸资料。

咨询方应协助委托方的技术人员获得进入咨询方国家的签证并负责安排食宿，食宿费用由委托方负担。咨询方应为委托方的技术人员提供办公室、必要的设施和交通便利。

咨询方对因执行其提供的咨询服务而给委托方和委托方工作人员造成的人身损害和财产损失承担责任并予以赔偿，但这种损害或损失是由于咨询方人员在履行本合同的活动中的疏忽所造成的。咨询方仅对本合同项下的工作负责。

咨询方对本合同的任何和所有责任都限定在咨询方因付出专业服务而收到的合同总价之内，并将在本合同第七．三条规定的保证期满后**。

第三条价格与支付

本合同总价包括咨询方所提供的所有服务和技术费用，为固定不变价格，且不随通货膨胀的影响而波动。合同总价包括咨询方在其本国和委托方国家因履行本合同义务所发生的一切费用和支出和以各种方式寄送技术资料到委托方办公室所发生的费用。如发生本合同规定的不可抗力，合同总价可经双方友好协商予以调整。如果委托方所要求的服务超出了本合同附件一规定的范围，双方应协商修改本合同总价，任何修改均需双方书面签署，并构成本合同不可分割的部分。

委托方向咨询方的所有付款均通过委托方所在地的___________银行以电汇方式支付到__________银行咨询方的帐户上。

对咨询方提供的服务，委托方将以下列方式或比例予以付款：

第四条交付

咨询方在航空邮寄上述资料时应以传真方式将邮寄日期和航空提单号等通知委托方。委托方收到上述技术咨询报告后应及时通知咨询方。

如果在邮寄过程中上述资料发生丢失、损坏，咨询方应在接到通知后两周内免费予以替换。

第五条保密

由委托方收集的、开发的、整理的、复制的、研究的和准备的与本合同项下工作有关的所有资料在提供给咨询方时，均被视为保密的，不得泄漏给除委托方或其指定的**之外的任何人、企业或公司，不管本合同因何种原因终止，本条款一直约束咨询方。

合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。

一方和其技术人员在履行合同过程中所获得或接触到的任何保密信息，另一方有义务予以保密，未经其书面同意，任何一方不得使用或泄露从他方获得的上述保密信息。

第六条税费

********根据其税法对委托方征收的与执行本合同或与本合同有关的一切税费均由委托方负担。

********根据*税法和********与咨询方国家*签订的避免双重征税和防止偷逃所得税的协定而向咨询方课征的各项税费均由咨询方支付。委托方依据本国的税法有义务对根据本合同而应得的收入按比例代扣一定的税费并代向税务机关缴纳，在收到税务机关出具的上述税款税收单据后，委托方应毫不迟延地转交给咨询方。

*******以外所发生的与本合同有关和履行本合同的各项税费均由咨询承担。

第七条保证

咨询方保证其经验和能力能以令人满意的方式富有效率且迅速地开展咨询服务，其合同项下的咨询服务由胜任的技术人员依据双方接受的标准完成。

如果咨询方在其**的范围内在任何时候、以任何原因向委托方提供本合同附件一中的工作范围内的服务不能令人满意，委托方可将不满意之处通知咨询方，并给咨询方＿＿＿＿天的期限改正或弥补，如咨询方在委托方所给的期限内改正或弥补，所有费用立即停止支付直到咨询方能按照本合同附件一的规定提供令人满意的服务为止。

咨询方的保证义务在本咨询服务经委托方最后验收后或最后一批款项支付后的 _______月到期。

第八章技术咨询报告的归属

所有提交给委托方的技术咨询报告及相关的资料的最后文本，包括为履行技术咨询服务范围所编制的图纸、计划和证明资料等，都属于委托方的财产，咨询方在提交给委托方之前应将上述资料进行整理归类和编制索引。

咨询方可保存上述资料的复印件，包括本合同第五条所指的委托方提供的资料，但未经委托方的书面同意，咨询方不得将上述资料用于与本咨询项目之外的任何项目。

第九章转让

未经另一方事先书面同意，无论是委托方或是咨询方均不得将其合同**或义务转让或转包给他人。

第十章违约和合同的**

如果由于咨询方的责任，技术咨询报告不能在本合同第四条规定的交付期内交付，咨询方应按下列比例向委托方支付迟延罚金：

A．第一至第四周，每周支付合同总价的百分之__________；

B．第五至第八周，每周支付合同总价的百分之__________；

C．从迟延的第九周起，每周支付合同总价的百分之______；

在计算违约金时，不足一周按一周计。

迟延交付的违约金总额不得超过合同总价的百分之_______。迟延交付违约金的支付并不**咨询方交付技术咨询报告的义务。

对咨询方的下列违约行为，委托方可书面通知的方式全部或部分**合同，并不影响其采取其它补救措施：

A．在本合同第四条规定的交付任何一项的技术咨询报告期限后_____天内仍不能交付部分或全部技术资料；

B．无法使技术咨询报告达到合同附件一规定的最低验收标准。对上述**合同，咨询方应退还委托方已支付的所有金额，并按年利率百分之______加付利息。

如果一方有下列行为，任何一方可书面通知对方全部或部分**合同，并不影响其采取其它补救措施：

A．没有履行合同规定的保密义务；

B．没有履行合同规定的其它义务，轻微的违约除外，并在收到对方书面的通知后天内或双方商定的时间内对其违约予以弥补；

C．破产或无力偿还债务；

D．受不可抗力事件影响超过______天。

第十一章不可抗力

任何一方由于战争及严重的火灾、台风、地震、水灾和其它不能预见、不可避免和不能克服的事件而影响其履行合同所规定的义务的，受事故影响的一方将发生的不可抗力事故的情况以传真通知另一方，并在事故发生后十四天内以航空挂号信件将有权证明的机构出具的证明文件提交另一方证实。

受影响的一方对因不可抗力而不能履行或延迟履行合同义务不承担责任。然而，受影响的一方应在不可抗力事故消除后尽快以传真通知另一方。

双方在不可抗力事故停止后或影响消除后立即继续履行合同义务，合同有效期和/或有关履行合同的预定的期限相应延长。

第十二章仲裁

凡因本合同引起的或与本合同有关的任何争议，均应提交*国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则在深圳进行仲裁，仲裁裁决是终局的，对双方均有约束力。仲裁适用*******法律。

除非另有规定，仲裁不得影响合同双方继续履行合同所规定的义务。

第十三章语言和标准

除本合同及附件外，委托方和咨询方之间的所有往来函件，咨询方给委托方的资料、文件和技术咨询报告、图纸等均采用英文。

尺寸均采用公制。

第十四章适用的法律

本合同的法律含义、效力、履行等均受*******法律管辖。

第十五章合同的生效及其它

本合同在双方授权**签字后，如果需要，由各方分别向本国**申请批准。双方应尽一切努力使合同在签字后三零天内获得各自国家*的批准，各方应立即将批准日期书面通知对方。最后一方的批准日期为本合同生效日期。

本合同有效期自合同生效之日起为___________ 年。
